Ohashi & Horn LLP Partner Hiromasa Ohashi was invited to present on business negotiation at a seminar in New York City hosted by a Japanese company, frequently lauded as the industry leader in supplying gas and energy services globally and whose stock is listed in the First Section of the Tokyo Stock Exchange, and attended by an audience of acclaimed executives from various parts of Japan.

Ohashi & Horn LLP secured a total victory for a Japanese company in a dispute involving the breach of a joint venture agreement related to a project in Guam. The dispute was litigated before an arbitrator and included multiple depositions of Japanese witnesses in Japanese and simultaneously translated into English, extensive litigation regarding discovery issues and the discovery obligations of a Japanese parent company that was not a party to the arbitration and thousands of pages of Japanese documents. A final in-person hearing was held before the arbitrator and witness testimony was taken from Japanese witnesses in Japanese and simultaneously translated into English. The arbitrator issued an award in favor of Ohashi & Horn LLP’s client for the full amount of monetary damages requested, as well as attorneys’ fees and interest.

Ohashi & Horn LLP served as legal counsel to our client, a U.S. subsidiary of a Japanese energy company, whose stock is listed in the First Section of the Tokyo Stock Exchange, in connection with its acquisition of an industrial gas manufacturer and distributor in Montana. Ohashi & Horn LLP counseled the client in the overall process, from drafting and negotiating the purchase agreement until closing of the transaction.

Ohashi & Horn LLP served as legal counsel to a U.S. subsidiary of a Japanese food manufacturer and seller in its acquisition of assets from a bankruptcy estate related to a food processing center in New York. Ohashi & Horn LLP counseled the client throughout the entire transaction, from drafting and negotiating the purchase agreement, to participating in a bankruptcy auction and negotiating other key ancillary transaction documents, through the closing of the acquisition.

Ohashi & Horn LLP served as legal counsel to our client, a U.S. subsidiary of a Japanese dental organization, in its acquisition of a Texas dental laboratory. Ohashi & Horn LLP counseled the client throughout the entire transaction, from drafting and negotiating the letter of intent and purchase agreement, to drafting and negotiating the key employment agreements, commercial lease, and other ancillary transaction documents, through the closing of the acquisition.

Ohashi & Horn LLP served as legal counsel to our client, a Japanese equipment manufacturer, in its acquisition of the assets and business of a Texas boat dealer. Ohashi & Horn LLP counseled the client in the overall process, from drafting and negotiating the purchase agreement until closing of the transaction, which occurred on this day.
