Ohashi & Horn LLP secured a total victory for a Japanese company in a dispute involving the breach of a joint venture agreement related to a project in Guam. The dispute was litigated before an arbitrator and included multiple depositions of Japanese witnesses in Japanese and simultaneously translated into English, extensive litigation regarding discovery issues and the discovery obligations of a Japanese parent company that was not a party to the arbitration and thousands of pages of Japanese documents. A final in-person hearing was held before the arbitrator and witness testimony was taken from Japanese witnesses in Japanese and simultaneously translated into English. The arbitrator issued an award in favor of Ohashi & Horn LLP’s client for the full amount of monetary damages requested, as well as attorneys’ fees and interest.

Ohashi & Horn LLP served as legal counsel to a U.S. subsidiary of a Japanese food manufacturer and seller in its acquisition of assets from a bankruptcy estate related to a food processing center in New York. Ohashi & Horn LLP counseled the client throughout the entire transaction, from drafting and negotiating the purchase agreement, to participating in a bankruptcy auction and negotiating other key ancillary transaction documents, through the closing of the acquisition.

The book discusses “absolute theories” of negotiation and highlights know-how that is useful in all stages of negotiation—from the early stages until the closing. The book also introduces “power phrases” that can be used in negotiation situations.

The reorganization was successfully completed in a transaction intended to qualify as a tax-free contribution of capital under Section 351 of the Internal Revenue Code of 1986, as amended.

Ohashi & Horn LLP announced the filing of an additional theft of trade secrets case in the United States District Court for the Northern District of Texas, Dallas Division, against manufacturers of coaters used in the production of flat panel displays. The suit is the third suit filed on behalf of the Dallas-based technology company that created the technology at issue. The previous cases were settled after the defendants agreed to enter into agreements that generated multi-million dollar payments to the client.

The settlement resulted in the defendant making a substantial payment to the firm's client.

The suit was filed on behalf of a Dallas-based technology company that holds several patents related to handheld electronic communication devices.

The patents at issue relate to optical disk drive technology. Ohashi & Horn LLP was recently selected by a publicly-traded Japanese corporation with over 650 restaurants throughout Japan to assist it in launching its U.S. operations. On November 11, 2005 the client executed definitive agreements (negotiated, drafted and structured by Ohashi & Horn LLP attorneys) to acquire four New York City restaurant concepts and a Queens food-preparation facility. The client intends to open additional locations and launch additional concepts in the United States in the near future and will look to Ohashi & Horn LLP for continued advice regarding a range of general corporate, commercial, tax and immigration matters.

The settlement was hailed as a resounding victory that exceeded the client’s expectations. Ohashi & Horn LLP co-founder Jeff Horn reported that the quick settlement was “only possible due to a thorough investigation and due diligence process that included the use of Korean consultants, a comprehensive litigation strategy designed to force early negotiations and finally, relentless pressure and skill applied after negotiations commenced.” “Our team of over twenty professionals and our licensing strategy more than proved themselves in this engagement,” Horn continued, “and we delivered an amount, net of our fee that exceeded the client’s demand prior to engaging us and all in a time frame of less than 60 days. Ohashi & Horn LLP filed suit today against a publicly-traded Republic of (South) Korea equipment manufacturer in the United States District Court for the Northern District of Texas, Dallas Division. The suit was filed on behalf of a Dallas-based technology company for which the firms serve as exclusive intellectual property litigation and licensing counsel. The suit alleges, among other things, theft and misappropriation of trade secrets and proprietary information related to patented technology used in various applications such as coating flat panel displays.

Ohashi & Horn LLP has been engaged to serve as intellectual property litigation and licensing counsel to a Dallas-based technology company. The firms initially intend to file suit alleging infringement of several U.S. patents regarding extrusion coating technology used, among other things, to coat flat panel devises. The firms are also investigating the possibility of filing an action with the U.S. International Trade Commission to exclude infringing devices from entering the U.S. The firm will also assist in grooming and monetizing the client's intellectual property portfolio, including seeking out and negotiating with potential licensees.

The engagement included extensive coordination and consultation with the Bureau of Industry & Security, a division of the U.S. Department of Commerce. The firm obtained the necessary export license in an expeditious manner, allowing the client to meet a rigorous delivery schedule required by foreign counterparties.
